Investment Banking Managing Director - Micro-cap ECM
Role summary
Microācap companies (public businesses with a market capitalization of roughly US$50-300 million) and midācaps (companies valued US$2 billion to US$10 billion), tend to be overlooked by large banks. Their smaller size makes them highāgrowth but also riskāprone: microācaps often lack institutional research coverage and have greater volatility and liquidity risks , while midācaps offer a balance of growth and stability . A senior coverage investment banker serves as the primary relationship manager for these issuers. The banker's mandate is to understand the client's strategy, sector and geography, connect them with the right products (M&A, equity capital markets, debt capital markets) and manage credit and counterāparty risk .
Responsibilities
- Client coverage & origination
- Build and maintain highālevel relationships with executives and boards of microā and midācap clients; understand their business strategies, capitalāstructure needs and geographical focus .
- Originate corporateāfinance and advisory transactions for micro/smallācap industries such as life sciences, technology, media and telecommunications ; source opportunities across M&A, capital raising and restructuring.
- Act as the primary point of contact for clients, promote the full range of investmentābanking products and define credit/creditārisk limits in concert with the risk department .
- Strategic advice & market research
- Research companies and industries; maintain a coverage universe of microā and midācap issuers, including monitoring market developments, comparable companies and investor sentiment .
- Develop clientāspecific pitch materials, strategic alternatives analyses and internal committee memoranda .
- Attend industry conferences and build a network of corporate and trade contacts; organize deal and nonādeal roadshows and investor calls for institutional clients .
- Transaction execution
- Lead the "full cycle" of transactions-M&A, equity offerings, debt financing, structured IPOs and strategic investments-for microā and midācap issuers . Coordinate due diligence, prepare marketing documents, manage internal approvals, negotiate with legal and accounting advisers and work with product specialists (e.g., M&A, ECM, DCM) to deliver tailored solutions.
- Oversee and review detailed valuation work such as discounted cashāflow (DCF) models, trading and transaction comparables and leveragedābuyout (LBO) analyses ; produce relativeāvaluation comparisons to support investment recommendations .
- Produce commitmentācommittee memos, present transactions for approval and manage risk identification throughout the deal process .
- Leadership & talent development
- Provide leadership, mentorship and supervision to analysts and associates, reviewing their analytical work and ensuring highāquality execution .
- Refine marketing and execution materials for maximum client impact; ensure analysts are trained on valuation, financial modeling and regulatory requirements.
- Participate in recruiting efforts and help build a highāperforming team .
Qualifications and skills
- Experience & education: 8-12 years of frontāoffice investmentābanking experience covering public companies; proven ability to originate and execute transactions. MBA, CFA or equivalent education; Series 7/63/79 licences .
- Technical skills: Advanced financial modeling and valuation abilities; deep understanding of M&A, equity and debt capital markets; ability to define and manage credit risk .
- Microā & midācap expertise - Familiarity with the unique dynamics of microācap issuers (high volatility, limited liquidity and analyst coverage ) and midācap companies (US$2 - 10 billion market caps that offer a blend of growth and stability ). Knowledge of SEC reporting requirements and OTC markets is a plus.
- Relationship skills: Excellent communication and interpersonal skills; ability to interact confidently with Cāsuite executives, boards and institutional investors .
- Leadership & project management: Ability to manage multiple deals concurrently, lead crossāfunctional teams and mentor junior staff while meeting tight deadlines .
