**Remote** Investment Banking Vice President | ESOP Advisory
Selby Jennings is partnering with a leading ESOP focused investment bank looking to add an Investment Banking Vice President to their deal execution team. This group advises founder-led and privately held businesses on Employee Stock Ownership Plan (ESOP) transactions, ownership succession strategies, recapitalizations, and related corporate finance solutions. The firm has established itself as a trusted advisor to middle-market companies seeking liquidity, tax-efficient exit solutions, and long-term employee ownership structures, and maintains a strong referral network leading to a full pipeline of transactions.
Ideal candidates are current Investment Banking Vice Presidents or Investment Banking Senior Associates with experience in ESOP transaction advisory, capable of overseeing deal execution while working in a remote environment.
Responsibilities
- Lead end-to-end execution of ESOP transactions, recapitalizations, and M&A advisory engagements.
- Serve as the primary day-to-day contact for clients and transaction counterparties.
- Manage financial analysis, valuation work, transaction structuring, and debt capacity assessments.
- Oversee the preparation of marketing materials, management presentations, CIMs, board materials, and lender presentations.
- Coordinate due diligence efforts among clients, lenders, trustees, attorneys, valuation advisors, and other third parties.
- Mentor and develop Analysts and Associates, ensuring high-quality deliverables and efficient execution.
- Support senior bankers in business development efforts, including client meetings, pitch preparation, and relationship management.
- Contribute to origination initiatives by identifying new opportunities within the ESOP and ownership transition marketplace.
- Assist business owners in evaluating strategic alternatives and succession planning objectives.
Qualifications
- 5+ years of Investment Banking experience with demonstrated exposure to transaction execution.
- Prior experience at a middle-market investment bank, boutique advisory platform, or corporate finance advisory firm.
- Strong financial modeling, valuation, and analytical skills.
- Experience building and reviewing operating models, DCF analyses, LBO analyses, and transaction materials.
- Exceptional written and verbal communication skills.
- Proven ability to manage multiple transaction workstreams simultaneously.
- Experience mentoring junior bankers.
- FINRA Series 79 and 63 licenses (or ability to obtain immediately).
- Prior ESOP experience is required.
