Zur Verstärkung des Legal-Teams in Berlin wird ein Legal Counsel / Syndikusrechtsanwalt (m/w/d) gesucht.
Ihre Aufgaben
In enger Zusammenarbeit mit der Leitung Legal übernehmen Sie u. a.:
- Gestaltung und Verhandlung von Investitions- und Finanzierungsverträgen mit Start-ups
- Unterstützung von Due-Diligence-Prozessen gemeinsam mit dem Investment-Team
- Vorbereitung und Umsetzung von Gesellschafterbeschlüssen
- Erstellung von kapitalmarktrechtlichen Dokumenten (z. B. Vermögensanlagen-Informationsblätter, KID)
- Rechtliche Beratung zu gesellschaftsrechtlichen und VC-relevanten Fragestellungen
- Koordination mit externen Kanzleien und Behörden
- Weiterentwicklung bestehender Investmentstrukturen und Prozesse
- Mitwirkung an neuen Geschäftsmodellen und rechtlichen Konzepten
- Perspektivisch Einbindung bei Portfolio-Governance-Themen
Ihr Profil
- Volljurist (2. Staatsexamen) / Syndikusrechtsanwalt
- Ca. 3-7 Jahre Berufserfahrung im Bereich Gesellschaftsrecht, Venture Capital oder Transaktionen
- Hintergrund in einer Wirtschaftskanzlei oder Inhouse-Position
- Fundierte Erfahrung in der Vertragsgestaltung und -verhandlung
- Unternehmerisches Denken und pragmatischer Arbeitsstil
- Interesse an Start-ups, Venture Capital und FinTech
- Kenntnisse im Kapitalmarktrecht von Vorteil
- Erfahrung im Aktienrecht (AG) ist ein Plus
- Verhandlungssicheres Deutsch und Englisch
