My client is a leading tech company undergoing rapid global expansion and we are recruiting for a Legal Specialist to be based in Tokyo. This is an opportunity to play a key role in the company's fundraising, international M&A, and overseas growth initiatives, working closely with senior management on strategic transactions that shape the future of the business.
Responsibilities for this Legal Specialist - High-Growth Tech Company role [JP]
- Lead legal support for domestic and international fundraising activities, including legal due diligence, investment agreements, shareholder's agreements, and capital market-related documentation.
- Manage and execute cross-border M&A transactions, including legal due diligence, SPA negotiations, transaction structuring, signing, closing, and post-merger integration support.
- Draft, review, and negotiate complex English and Japanese commercial agreements with investors, business partners, target companies, and external stakeholders.
- Partner with executive management to assess legal risks, provide strategic recommendations, and support critical business decisions.
- Coordinate with investors, financial advisers, external counsel, and internal stakeholders throughout transaction life cycles.
- Support overseas business expansion by advising on international legal, regulatory, corporate governance, and compliance matters.
- Establish and enhance legal frameworks, policies, and operational processes to support the company's global growth strategy.
Requirements for this Legal Specialist - High-Growth Tech Company role [JP]
- Qualified lawyer in Japan or another jurisdiction.
- Strong corporate legal experience gained within a leading law firm or in-house legal team.
- Practical experience supporting fundraising transactions and/or M&A deals.
- Experience negotiating English-language agreements directly with counter parties and external counsel.
- Business-level English communication skills.
- Proven ability to manage complex projects involving executives, cross-functional stakeholders, and external advisers.
