Transaction Manager
The Transaction Manager is responsible for leading and coordinating the full lifecycle of transactions across alternative investment structures. Operating in a fast‑paced Luxembourg environment, the role requires close collaboration with internal teams and external advisors to ensure seamless execution, robust governance, and adherence to regulatory standards. This individual brings strong project management capabilities, a structured mindset, and the ability to manage multiple complex workflows simultaneously.
Responsibilities
- Acts as project lead for transactions within the alternative investments portfolio, overseeing activities from initial structuring through closing and post‑transaction processes.
- Coordinates due diligence streams and transaction milestones across internal departments and external stakeholders, including legal, tax, accounting, fund administration, and advisors.
- Manages transactions involving multiple transfers, restructurings, contributions‑in‑kind, and distributions‑in‑kind, ensuring accuracy and regulatory conformity.
- Supervises the preparation, negotiation, and execution of transaction documentation, ensuring alignment with Luxembourg legal and corporate governance frameworks.
- Manages transaction tools and platforms (e.g., SharePoint), including configuration, documentation uploads, data integrity control, and audit readiness.
- Coordinates cash flow processes, capital calls, distributions, financing flows, and other operational steps related to transaction execution in cooperation with accounting and finance teams.
- Ensures transactions comply with Luxembourg company law, AIF structures (e.g., RAIF, SIF, SICAR), and internal governance frameworks.
- Proactively identifies control gaps and opportunities to enhance efficiency, automation, and standardization across transaction processes.
- Designs, maintains, and improves policies, procedures, and comprehensive documentation related to transaction activities.
Requirements
- At least two years of professional experience in alternative investments, fund administration, transaction execution, or a related financial institution.
- Completed degree in Finance, Economics, Business Administration, Law (1st/2nd state exams), or an equivalent qualification.
- Demonstrated experience in project management, process optimization, automation, or workflow standardization.
- Strong understanding of Luxembourg investment structures, corporate law, and cross‑border transaction mechanics is an advantage.
- Quick learner with excellent communication skills and the ability to engage effectively with both internal and external stakeholders.
- Capable of working independently with strong organizational and problem‑solving skills.
- Solution‑oriented mindset with high attention to detail and customer‑focused approach.
- Proficiency in SharePoint or similar platforms used for transaction and documentation management.
