A leading AIFM is seeking a Corporate Governance professional to join its governance team based in Luxembourg. The team is responsible for overseeing the governance of a diverse portfolio of holding companies across multiple infrastructure investment funds.

Working at the intersection of investments, legal, and operations, the team plays a critical role in ensuring robust governance frameworks, regulatory compliance, and best-in-class corporate practices. The environment is collaborative and international, with a strong emphasis on integrity, accountability, and continuous improvement. Individuals are encouraged to contribute ideas, take ownership, and help shape efficient and scalable governance processes.

The Role

The successful candidate will support the day-to-day governance management of Luxembourg-based holding companies, ensuring that governance standards are consistently applied and statutory and contractual obligations are met.

Key responsibilities include coordinating closely with external legal advisors in Luxembourg on significant corporate and transactional matters, such as asset acquisitions and disposals, investor distributions, refinancings, and corporate restructurings.

The role also involves organising and managing board and shareholder meetings, preparing and coordinating approvals, handling corporate filings, responding to KYC requests, and overseeing a broad range of corporate and administrative activities related to the management of holding companies.

Working alongside a broader international team, the individual will contribute to identifying operational inefficiencies and will help design and implement process enhancements to support a growing and dynamic portfolio.

Requirements

  • 3-6 years of relevant experience as a lawyer, corporate governance professional, or company secretary, with exposure to corporate administration and financial services
  • Experience in Alternative Investment Funds
  • A strong academic background with a completed university degree
  • Excellent written and verbal communication skills, with the ability to engage confidently with senior stakeholders and external advisors
  • A proactive, resilient, and solutions-oriented mindset, combined with sound commercial judgement
  • Fluency in English is essential; proficiency in German and/or French is considered a strong advantage
