Legal Manager - Shanghai
We are currently seeking a legal manager to join a reputable China-based private equity fund.
Job Responsibilities:
- Investment and Financing Legal Support: Provide comprehensive legal support for the fund's investment and financing activities. This includes drafting, reviewing, and negotiating contracts and agreements, ensuring compliance with relevant laws and regulations, and advising on legal risks and mitigation strategies.
- Post-Investment and Exit Affairs: Offer legal support for the post-investment and exit affairs of the company and the fund. This involves managing legal aspects of portfolio management, monitoring compliance with investment agreements, and facilitating smooth exit transactions.
- Fund-Raising Legal Support: Provide legal support for the company's fund-raising activities. This includes preparing legal documentation for fund-raising initiatives, ensuring compliance with securities laws and regulations, and advising on the legal implications of various fund-raising strategies.
- Regulatory Compliance and Strategic Development: Establish and improve relevant rules, regulations, and processes for the company. Provide legal support for the company's strategic development by advising on regulatory compliance, corporate governance, and risk management.
- Legal Compliance in Operations: Handle legal compliance matters in the operation of the company and the fund. This includes ensuring adherence to legal and regulatory requirements, managing legal disputes, and protecting the company's legal rights and interests.
Job Requirements:
- Educational Background: A master's degree or higher in law from a renowned law school, either domestic or international. The candidate must have passed the national judicial examination, demonstrating a strong foundation in legal principles and practices.
- Professional Experience: 6-10 years of work experience in the legal industry, with a focus on private equity funds. The candidate should be familiar with the operation mode and relevant laws and regulations governing private equity funds, including investment structures, compliance requirements, and regulatory frameworks.
- Skills and Abilities: The candidate should possess excellent problem-solving skills, organizational and coordination abilities, and strong business negotiation skills. They should be capable of making sound judgments and decisions, demonstrating a high level of analytical and critical thinking.
- Personal Qualities: The ideal candidate should be mature, stable, meticulous, and diligent. They should have strong stress resistance, the ability to work under pressure, and a business-oriented mindset. Team spirit and the ability to collaborate effectively with colleagues are essential.
- Language Proficiency: Proficiency in English as a working language is required. The candidate should be able to communicate effectively in English, both written and spoken, to handle international legal matters and collaborate with global stakeholders.
- Preferred Experience: Prior experience in legal affairs related to private equity funds and mergers and acquisitions is preferred. This includes experience in structuring and negotiating M&A transactions, conducting due diligence, and managing post-merger integration.
