Senior Legal Officer (m/w/d)
A well-established asset management and fund management business is seeking an experienced Legal professional to support the Legal & Regulatory Affairs function in Luxembourg.
Key Responsibilities
- Provide legal advice and support to management, colleagues, boards of directors, and affiliated entities on legal and corporate governance matters.
- Draft, review, negotiate, and maintain a broad range of commercial and fund-related agreements.
- Support legal matters relating to UCITS and AIF structures, including alternative asset classes.
- Assist with the oversight of the legal and regulatory framework applicable to investment funds and management company activities.
- Review and negotiate distribution, marketing, and service provider agreements across multiple jurisdictions.
- Participate in regulatory interactions and coordinate responses to legal and regulatory developments.
- Prepare and review corporate governance documentation, including board resolutions, shareholder resolutions, minutes, and governance records.
- Contribute to the maintenance and enhancement of internal legal policies, procedures, and controls.
- Collaborate with Compliance, Risk, Operations, external counsel, auditors, fund service providers, and other stakeholders.
- Support board and committee governance processes, including meeting preparation and follow-up actions.
- Identify legal risks and provide pragmatic, commercially focused solutions to business stakeholders.
- Prepare reporting for senior management and group-level legal functions.
Candidate Profile
- Qualified lawyer within an EU jurisdiction.
- Approximately 8+ years of relevant legal experience within the Luxembourg funds industry.
- Experience gained within a Management Company, AIFM, asset manager, fund platform, or similar environment.
- Strong knowledge of UCITS, AIFMD, fund governance, and Luxembourg funds regulation.
- Proven experience drafting and negotiating commercial, distribution, and fund-related agreements.
- Comfortable interacting with regulators, external advisers, and senior management.
- Fluent English is required. Additional European languages, particularly German, would be advantageous.
- Strong analytical skills with a pragmatic and solution-oriented approach.
- Advanced Microsoft Office skills.
- Experience using legal technology and AI-enabled productivity tools is beneficial.
- Collaborative team player with strong stakeholder management skills.
