What You'll Do

  • Lead legal strategy for fund formation, investment structures, and portfolio transactions (RMB & offshore).
  • Draft/negoti​ate term sheets, SPAs/SHAs, fund docs, LPAs/PPMs, side letters, and governance frameworks.
  • Oversee legal due diligence and provide solutions on key risks; support exits and complex restructuring where needed.
  • Ensure ongoing compliance with CSRC/AMAC and other relevant regulators; maintain robust reporting cadence.
  • Build and refine internal policies/SOPs, train teams, and uplift legal risk controls across the platform.
  • Select and manage external counsel, balancing quality, speed, and cost.
  • Track regulatory changes and brief senior leadership on implications for products, deals, and operations.
  • Lead dispute management and crisis response when require

What We're Looking For

  • PRC Bar; LL.B. or above (LL.M. a plus).
  • 8-12+ years in asset management / PE / securities or top law firm; direct fund formation + PE/VC deal exposure.
  • Strong command of PRC financial regulations; comfort with cross‑border structures and documentation.
  • Proven negotiator with business judgment and clear, concise drafting in Mandarin; strong English preferred.
  • Low‑ego leader who can influence senior stakeholders and build scalable processes.
