Associate - Transaction Advisory & Restructuring

Locations: Boston, Chicago, Detroit, Dallas.

Our client, a growing middle-market investment bank, is seeking an Associate to join its Transaction Advisory & Restructuring team. This individual will work across a diverse range of engagements including transaction advisory, turnaround consulting, restructuring, performance improvement, and special situations assignments. The position offers significant exposure to private equity sponsors, lenders, corporate management teams, and other key stakeholders while providing hands-on experience in financial analysis, due diligence, forecasting, and operational improvement initiatives.

This opportunity is well-suited for professionals coming from transaction services, Big Four advisory, restructuring consulting, investment banking, corporate finance, or accounting backgrounds who are seeking broader exposure to complex financial and operational challenges.

Key Responsibilities

  • Support buy-side and sell-side financial due diligence engagements for private equity and strategic clients.
  • Analyze historical financial performance to identify earnings trends, working capital drivers, and key transaction considerations.
  • Assist in the preparation of Quality of Earnings analyses, including revenue, profitability, and EBITDA assessments.
  • Identify adjustments related to non-recurring items, accounting differences, and operational factors that impact business performance.
  • Participate in management meetings, client discussions, and financial diligence processes.
  • Build and maintain short-term cash flow forecasts and liquidity models.
  • Evaluate capital structures, debt agreements, and covenant requirements to assess financial risk and potential restructuring alternatives.
  • Support turnaround initiatives focused on improving liquidity, profitability, and operational performance.
  • Assist with stakeholder communications involving lenders, creditors, investors, and management teams.
  • Contribute to bankruptcy-related engagements and restructuring assignments.
  • Conduct scenario and sensitivity analyses to evaluate strategic alternatives and restructuring outcomes.
  • Develop and maintain financial models used for forecasting, business planning, and decision support.
  • Perform variance analyses and evaluate key financial and operating performance metrics.
  • Support strategic planning initiatives, budgeting processes, and performance reporting efforts.
  • Assist clients in developing actionable financial insights to improve business performance.
  • Utilize advanced analytical tools to evaluate large datasets and identify business trends.
  • Support process improvement and automation initiatives related to financial reporting and diligence workflows.
  • Assess financial reporting processes and internal controls, particularly within stressed or rapidly changing operating environments.

Qualifications

  • Bachelor's degree in Finance, Accounting, Economics, or another quantitative discipline.
  • Approximately 2-4 years of relevant experience within transaction advisory, restructuring, consulting, accounting, corporate finance, investment banking, or a related field.
  • Strong analytical and financial statement analysis capabilities.
  • Advanced proficiency in Microsoft Excel and PowerPoint.
  • Demonstrated ability to manage multiple workstreams in a fast-paced environment.
  • MBA, Master's degree, CPA, CFA, or other relevant professional designation.
  • Experience supporting Quality of Earnings, financial due diligence, restructuring, or turnaround engagements.
  • Strong financial modeling skills, including forecasting and scenario analysis.
  • Exposure to distressed situations, bankruptcy processes, or debtor/creditor advisory work.
  • Excellent written and verbal communication skills.
  • Ability to work independently while collaborating effectively within a team environment.
  • Strong attention to detail, critical thinking abilities, and problem-solving skills.
  • Willingness to travel as client engagements require.
