Specific Responsibilities
- The negotiation and management of secured financing agreements from a hedging perspective (primarily LMA and bespoke SFA intercreditor terms), derivatives master agreements (e.g. ISDA, CSA) and non-disclosure agreements in accordance with Company's Group and local policies
- Acting on and advising on deal contingent rates and FX derivatives transactions and other high profile event driven transactions including derivatives linked to securitization and covered bond transactions
- Advising on structured transactions more generally in the FICC space including TRS, repack, repos and structured products
- More generally, assisting on legal, regulatory and product related issues and initiatives in the FICC business
Job Duties
- Have an excellent knowledge of a variety of Markets product and documentation including, product level documentation, traded markets master agreement documentation (in particular, ISDA Master Agreements, GMRAs and other market standard derivatives and securities financing agreements) and credit, legal, regulatory and operational issues/risks relating thereto
- Have a solid understanding of the roles, responsibilities, dependencies and dynamics between key banking functions such as Sales, Trading, Structuring, Compliance, Counterparty Credit Risk, Market Risk, Treasury and Counterparty Exposure Management
- Ideally have drafting, reviewing and negotiating experience of derivatives product and master agreement documentation including documentation in connection with secured financing arrangements (e.g. syndicated loans, leveraged finance, club deals, private placements), in particular, from the perspective of a hedge counterparty, deal contingent, securitization and covered bond derivatives and structured transactions more generally in the FICC space including TRS, repack, repos and structured products
- Ideally be familiar with LMA based key Finance Documents such as Intercreditor Agreements and Senior Facility Agreements and have an understanding of the documentation structure of most common financing transactions
Candidate Requirement
- Legal background (qualified lawyer or law degree)
- Experienced transactions legal and/ or negotiator background in the Derivatives field in a reputable law firm or financial institution
- Minimum 5 years' experience advising on Markets products and transactions
- Drafting, reviewing and negotiating product documentation, ISDA Master Agreements and related or similar documentation
- Prior experience in a similar role
- Chinese skills a plus but not essential
