Legal Counsel (m/f)
Goal
The main goal of this position is to support various business areas with legal expertise, from the drafting of legal insurance documents and clients requests to the investigation about legal compliance across jurisdictions on a global scale. The legal Counsel is also acting as Corporate Secretary
In this position, you will work in a small team of lawyers and report into the Head of Legal.
Responsibilities
Legal counsel
*Prepare legal and administrative documents related to the company
*Conduct legal research in foreign jurisdictions (world-wide) on international business compliance matters such as licensing requirements, regulatory issues in relation to health insurance activities and deal with international authorities in that respect
*Research and analyse the law on complex issues and write briefs for submission to the Head of Department or executives of the company
*Analyse and summarise complex legal documents including contracts: make suggestions for alterations
*Negotiate with outside parties on contractual issues and legal disputes
*Prepare and negotiate contractual set-ups such as cooperation agreements, service agreements, etc.
*Anticipate and mitigate potential legal problems and develop strategies to avoid costly litigation and reduce areas of risk
*Provide legal support to various departments in the company
*Maintain an organized library of legal documents, databases and reports
Corporate Secretary
*Prepare materials to be circulated to shareholders and board/committee members in a qualitative, accurate, and timely manner
*Manage Key Decision-Making Processes by determining, setting and facilitating processes of various bodies such as general meeting, board of directors, of the Company:
- Arranging and conducting meetings
- Setting the agenda
- Drafting and keeping minutes of the decisions
- Tracking action items
*Process information by maintaining share register, agendas, minutes etc., dealing with correspondence, collecting information and writing reports, ensuring decisions made are communicated to the relevant persons in a clear and consistent way
*Responsible for the compliance with the company's governance processes through advice and support (such as, e.g. drafting circular resolutions)
*Draft (and keep up to date) terms of reference for Board of Director and Board of management, agenda builder tool
*Tracking legal & regulatory updates in Luxembourg that affect the business
Profile
*University degree in law (equivalent to Master 2, LLM)
*Excellent knowledge of international legal systems and contract management
*Excellent analytical, negotiation and communication skills
*Ability to present results in a comprehensible way
*Highly motivated and enjoy working in an intercultural environment
*Strong team player, dynamic and resilient with the ability to work independently
*Excellent English skills are required for this position. In addition, this position requires fluency in either French or Spanish. German language is considered an advantage.
